GENERAL TERMS AND CONDITIONS OF SALE

AC LASER SYSTEMS

1. Company Identification

These General Terms and Conditions of Sale govern all sales carried out by AC LASER SYSTEMS, a brand owned by ELITE TOOLS & MACHINERY GROUP, a company registered in Mexico.

Any order implies full and unconditional acceptance of these terms and conditions.

2. Champ d’application

These Terms and Conditions apply to:

  • Sales carried out in Mexico

  • International sales

  • Direct sales and sales through authorized distributors

The products are intended exclusively for professional and industrial use.

3. Products

Laser welding machines and related equipment are described as accurately as possible.

However, technical specifications may be modified without prior notice as part of continuous product improvement.

Visuals and commercial documents are non-binding.

4. Orders

An order becomes final after :

  • Written acceptance of the quotation

  • Signature of the purchase order

  • Versement de l’acompte convenu

AC LASER SYSTEMS reserves the right to refuse any order in the event of non-compliance with commercial or financial conditions.

5. Price

Prices are expressed in USD or MXN, unless otherwise stated.

Unless otherwise specified:

  • Prices are exclusive of taxes

  • Transport, insurance, customs, and installation costs are not included, unless otherwise stated

  • Export conditions are governed by the Incoterms specified in the contract

6. Payment Terms

6.1 Standard Payment

A deposit is required at the time of order.

The balance must be paid before shipment or in accordance with the terms defined in the contract.

6.2 Payment via financing institution

Installment payments are only possible through a third-party financial institution.

In this case :

  • The financing agreement is concluded between the customer and the financial institution.

  • AC LASER SYSTEMS is not responsible for the approval or refusal conditions of the financing.

  • Delivery may be subject to financing approval.

Any delay in payment may result in:

  • Late payment interest in accordance with the Mexican Código de Comercio

  • Suspension of the warranty

  • Suspension of services

7. Delivery and Export

Delivery times are provided for indicative purposes only.

AC LASER SYSTEMS cannot be held responsible for delays due to :

  • Force majeure

  • Logistical delays

  • Customs delays

  • Import issues in the destination country

For international sales, risks are transferred in accordance with the Incoterm agreed upon in the contract.

8. Installation and Site Compliance

The customer is responsible for:

  • Electrical compliance

  • Adequate ventilation and air conditioning

  • An environment free from excessive dust

  • Compliance with local safety regulations

Any damage caused by non-compliant installation voids the warranty.

9. Warranty

The warranty covers manufacturing defects only.

It does not cover :

  • Improper use

  • Failure to comply with safety rules

  • Insufficient maintenance

  • Normal wear of consumables

  • Unauthorized modification

10. Maintenance and Spare Parts

After-sales service and maintenance are provided by ELITE TOOLS & MACHINERY GROUP or by authorized distributors and partners.

Only original parts must be used to maintain the validity of the warranty.

11. Distributors

Distributors are legally independent.

AC LASER SYSTEMS is not responsible for:

  • Contractual commitments made directly by a distributor

  • Specific commercial conditions offered by the distributor

The manufacturer’s warranty remains applicable in accordance with the official terms and conditions.

12. Limitation of Liability

AC LASER SYSTEMS’ liability is strictly limited to the amount of the sale concerned.

The company cannot be held responsible for :

  • Indirect losses

  • Loss of business / operating losses

  • Loss of production

  • Loss of profit

13. Retention of Title

The equipment remains the property of AC LASER SYSTEMS until full payment of the price has been made.

14. Governing Law and Jurisdiction

These Terms and Conditions are governed by Mexican law.

Any dispute shall be submitted to the competent courts of Mexico, unless otherwise specified in an international contract.
